12 prejudice of such rights or privileges without paying 13 a full and ample indemnity therefor, to the individual 14 or corporation sustaining the same: And provided 15 also, that said dams shall be provided with locks of 16 sufficient dimensions to allow the safe and convenient 17 passage of vessels of seventy five tons.

1 SEC. 4. Be it further enacted, That said company 2 may hold real estate, not exceeding in value one 3 thousand dollars, and personal estate not exceeding 4 one thousand dollars, as may be necessary for carry5 ing into effect the purposes of this Act; and either 6 of the persons named in this Act may call the first 7 meeting of said company, by giving ten days previous 8 notice to each member of the same, in person, or by 9 written notice left at his last and usual place of abode.

The Committee of both Houses on Railways and Canals, to whom was referred the petition of Mark Newman and others, for an act of incorporation to construct a Rail Road from Andover to the Boston and Lowell Rail Road, have considered that subject, and ask leave to report a Bill.

In the Year of our Lord One Thousand Eight Hundred and Thirty-Three.

AN ACT

To establish the Andover and Wilmington Rail Road

Corporation.

SEC. 1. BE it enacted by the Senate and House 2 of Representatives, in General Court assembled, and 3 by the authority of the same, That Mark Newman, 4 Paschal Abbot, Francis Kidder, Amos Abbott, Hobart 5 Clark, James Locke, John Flint, Amos Blanchard, 6 Samuel Farrar, John Smith, 2d, Merrill Pettengill, 7 Aaron Green, their associates, successors and assigns 8 be, and they hereby are made a body politic and cor9 porate, under the name of the "Andover and Wil10 mington Rail Road Corporation," and by that name 11 shall be and hereby are made capable in law, to sue, 12 and be sued to final judgement and execution, plead 13 and be impleaded, defend and be defended, in any 14 courts of record, or in any other place whatever; to 15 make, have and use a common seal, the same to 16 break, renew or alter at pleasure; and shall be and

17 are hereby vested with all the powers, privileges and 18 immunities which are or may be necessary to carry 19 into effect the purposes and objects of this act, as 20 hereinafter set forth. And the said corporation are 21 hereby authorized and empowered to locate, construct, 22 and finally complete a rail road, commencing at or 23 near the South Parish meeting-house in Andover, and 24 thence to the Boston and Lowell rail road, in Wil25 mington, in the county of Middlesex, so as to form 26 a branch thereof, in such manner and form as they 27 shall deem most expedient; and for this purpose 28 the said Corporation are authorized to lay out their 29 road at least four rods wide through the whole length; 30 and for the purpose of cuttings, embankments, stone 31 and gravel, may take as much more land as may be 32 necessary for the proper construction and security of 33 said road. Provided however, That all damages that 34 may be occasioned to any person or corporation, by 35 the taking of such land or materials for the purpose 36 aforesaid, shall be paid for by said Corporation, in the 37 manner hereinafter provided.

1 SEC. 2. Be it further enacted, That the capital 2 stock of said Corporation shall consist of one thou3 sand shares; and the immediate government and di4 rection of the affairs of said Corporation, shall be 5 vested in five directors, who shall be chosen by the 6 members of the Corporation in the manner hereinaf7 ter provided, and shall hold their offices until others 8 shall be duly elected and qualified to take their place, 9 as directors; and the said directors, a majority of 10 whom shall form a quorum for the transaction of bu11 siness, shall elect one of their own number to be 12 President of the Board, (who shall also be President
