D. M. GREENE, Esq., Deputy State Engineer and Surveyor: SIR. Yours of date December 18, 1875, calling on me, as the receiver of the New York, Utica and Ogdensburgh Railroad Company, to make the annual report, as required by law, is received. In reply I will say I was not aware that such was my duty, and, further, that it is impossible for me to do so. The books and papers of the corporation are in the hands of a special receiver, who held them at the time of my appointment, under an order of the court in a suit against its then president. My action has been restrained most of the time by injunctions, and I am now taking steps to get the books, and hope to succeed in doing so shortly. I am informed that no part of the road has been built and nothing done except to make surveys.

The capital stock was $12,000,000, and less than $80,000 paid in, which has been absorbed prior to my appointment. The length of the road to be built is about 100 miles. My duty seems to be to collect from the stockholders sufficient money to pay the debts. If I can make any further report I will do so, and would be happy to avail myself of any suggestions that you may favor me with in respect Yours truly,

DEAR SIR.-A circular addressed to C. Bean, President New York Western Midland Railroad, was placed in my hands to-day by Mr. Bean's brother. In July last I was appointed receiver of said railroad, and its affairs are being liquidated. No part of the road has been built, nor has there been any labor done beyond a partial survey. If there is any report necessary for me to make, please inform me. I have not yet been able to collect sufficient to pay the claims against the company. Respectfully yours,

DEAR SIR.-In reply to your communication calling for the annual report of the New York, West Shore and Chicago Railroad Company, we have to say that no progress has been made in the construction of the road since our last report.

In May last the company passed into the hands of a receiver, Mr. Livingston Lansing, of Buffalo, N. Y., and legal proceedings are in progress looking to the sale of the road under a foreclosure of the mortgage.

CLARKSON N. POTTER, President of the Niagara Bridge and Canandaigua Railroad Company, being duly affirmed, deposes and says, that the statements in the annexed report, which has been signed by

him, at the end thereof, are true and correct, according to the best of his knowledge, information and belief.

The Canandaigua and Niagara Falls Railroad Company was a corporation incorporated under the general railroad act; articles filed March 18, 1851. That company constructed the railroad from Canandaigua to the Suspension Bridge over the Niagara river, and mortgaged its property, corporate franchises, etc., to secure the issue of certain bonds. This mortgage was subsequently foreclosed, and the mortgaged property purchased by Messrs. James M. Brown, Charles Congdon and Robert B. Potter, who subsequently associated other parties with them, and formed this corporation (general railroad act, § 5, as amended, etc.); the articles of association of which were filed, etc., August 25, 1858. To this company these gentlemen subsequently conveyed the property

The line was then leased to the New York Central Railroad Company (for the term of this company's charter) from May 1, 1858, under whom it has been operated. By the terms of the lease, the lessees are to make the reports concerning the condition and business of the road required by law.
